1. Definitions

2. Acceptance of Terms

By using this website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements under Malaysian law. Use of this website constitutes acceptance of these terms.

3. Description of Services

Verdantlaw provides professional legal advisory services including contractual review and drafting, dispute resolution support, and regulatory compliance guidance. Our services are available to individuals and businesses operating primarily within Malaysia. Geographic or scope restrictions may apply to specific engagements and will be communicated at the outset.

Nothing on this website constitutes legal advice. Professional advice is provided only through a formal engagement, following execution of an engagement letter or scope agreement.

4. User Responsibilities

When using our website or engaging our services, you agree to:

5. Intellectual Property

All content on this website, including text, structure, and design, is the intellectual property of Verdantlaw unless otherwise noted. You are granted a limited, non-exclusive, non-transferable licence to access and use the website for personal, non-commercial purposes. You may not reproduce, republish, or distribute any content without prior written permission.

Work product created by Verdantlaw in the course of a client engagement remains subject to the terms of the relevant engagement agreement. General publication rights are retained by Verdantlaw unless expressly transferred in writing.

6. Professional Services Terms

6.1 Engagement

All engagements are governed by a separate written scope of work or engagement letter. These Terms & Conditions form part of that agreement unless explicitly superseded.

6.2 Fees and Payment

Fees are set out in the relevant engagement letter. All fees are denominated in Malaysian Ringgit (MYR). Payment terms will be specified in the engagement letter. Invoices unpaid after the due date may attract interest at the rate prescribed under applicable Malaysian law.

6.3 Scope Changes

Changes to the agreed scope of work require mutual written agreement. Additional work falling outside the original scope will be quoted separately and must be approved before commencement.

6.4 Refunds

Fees for completed work are not subject to refund. Where an engagement is terminated before completion, fees for work completed to the date of termination remain payable.

7. Disclaimers

This website and its content are provided for general information purposes only. They do not constitute legal advice and should not be relied upon as such. Verdantlaw makes no representations about the accuracy or completeness of website content and accepts no liability for decisions made on the basis of information found on this website.

Legal outcomes depend on the specific facts of each matter, applicable law at the time, and various other factors outside our control. We do not represent that any particular outcome will be achieved in any engagement.

8. Limitation of Liability

To the fullest extent permitted under Malaysian law, Verdantlaw's liability for any claim arising from these terms or from the use of our services shall not exceed the fees paid by the client for the relevant engagement. We are not liable for indirect, consequential, or incidental loss, including loss of profit, loss of data, or business interruption.

9. Indemnification

You agree to indemnify Verdantlaw and its practitioners against any claim, loss, or liability arising from your breach of these terms, your misuse of this website, or your provision of inaccurate or misleading information in connection with an engagement.

10. Termination

Either party may terminate an engagement by providing written notice. Termination does not affect obligations already accrued, including the payment of fees for work completed. Verdantlaw may terminate an engagement immediately where continued representation would breach professional obligations or applicable law.

11. Confidentiality

All client information is treated as strictly confidential in accordance with Bar Council Rules and the Legal Profession Act 1976. This obligation survives the conclusion of any engagement.

12. Dispute Resolution

These terms are governed by the laws of Malaysia. Any dispute arising from these terms shall first be subject to good faith negotiation between the parties. If unresolved, disputes shall be submitted to mediation before the Malaysian Mediation Centre, and thereafter to the courts of Malaysia.

14. Changes to These Terms

We may update these terms from time to time. The current version will always be published on this page with an updated date. Continued use of the website following an update constitutes acceptance of the revised terms.
